Terms of Service

These Terms of Service ("Terms") govern your use of the Ootomojo platform at ootomojo.com (the "Service"), operated by SquarePoint Consulting LLC ("Company," "we," "us," "our"), an Oregon limited liability company. By clicking "I Agree," checking the acceptance box, completing account registration, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Service.

1. The Service

Ootomojo is an AI-powered business assistance platform that provides virtual team members ("AI Agents" or "Crew") to help you organize, plan, and manage business activities. The Service includes:

  • AI-powered conversational agents accessible via Discord
  • Business data management (customers, tasks, invoices, leads)
  • A web dashboard for account and workspace management
  • Website hosting and related tools (when available)

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement. If you use the Service on behalf of a business, you represent that you have authority to bind that entity to these Terms.

3. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately at support@ootomojo.com if you suspect unauthorized access.
  • You represent and warrant that you have all necessary rights, consents, and authority to submit any data you provide to the Service, including any personal information of third parties (such as your customers, leads, or contacts).

4. Subscriptions and Billing

4.1 Free Trial

New accounts receive a 7-day free trial with full access to all features. No credit card is required to start the trial. If you choose to subscribe before or at the end of the trial, you will be prompted to provide a payment method at that time.

4.1A Auto-Renewal Disclosure

IMPORTANT — AUTOMATIC RENEWAL: If you subscribe after your free trial, your subscription will automatically renew each month at the then-current rate until you cancel. You may cancel at any time through your account settings at ootomojo.com/settings or by contacting support@ootomojo.com. Cancellation takes effect at the end of your current billing period.

4.2 Subscription Plans

Paid plans are billed monthly. Current pricing is available at ootomojo.com/pricing. We reserve the right to change pricing with 30 days' notice to existing subscribers.

4.3 Token Usage

Each plan includes a weekly token budget that determines how much your AI crew can do. Tokens refill automatically every 4 hours. When tokens are exhausted, your AI crew enters advisor-only mode (can chat but cannot execute actions) until the next refill. Upgrading your plan increases your token allocation.

4.4 Cancellation

  • You may cancel your subscription at any time through the billing portal or by contacting support@ootomojo.com.
  • Cancellation takes effect at the end of your current billing period. You retain access until then.
  • After cancellation, your workspace enters hibernation: your data is preserved for 90 days but AI agents are deactivated. You may reactivate at any time during this period.
  • After 90 days of hibernation, your data may be permanently deleted.

4.5 Billing Disputes

If you believe you have been incorrectly charged, you must contact us at support@ootomojo.com within 60 days of the charge. We will investigate and resolve billing disputes in good faith. You agree to attempt to resolve billing disputes directly with us before initiating a chargeback or payment dispute with your bank or card issuer. Chargebacks filed without good-faith prior communication may result in account suspension.

4.6 Refunds

We do not offer refunds for partial billing periods. If you experience a significant service outage (see Section 8), you may request a pro-rated credit for the affected period.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Generate, store, or distribute illegal, harmful, abusive, defamatory, or obscene content
  • Attempt to circumvent usage limits, authentication, or security measures
  • Use automated systems to access the Service in a manner that exceeds reasonable use
  • Interfere with or disrupt the Service or its infrastructure
  • Impersonate any person or entity
  • Use the AI agents to generate content that violates Anthropic's Acceptable Use Policy
  • Rely on AI-generated content as professional advice (legal, financial, medical, tax, or otherwise) without independent verification by a qualified professional

We reserve the right to suspend or terminate your account for violations of this section.

6. Your Data

6.0 Prohibited Data

The Service is not designed for processing data subject to heightened regulatory requirements. You agree not to submit data that is subject to the Health Insurance Portability and Accountability Act (HIPAA), the Gramm-Leach-Bliley Act (GLBA), the Family Educational Rights and Privacy Act (FERPA), the EU General Data Protection Regulation (GDPR), Payment Card Industry Data Security Standards (PCI-DSS), or similar regulatory frameworks. If you require processing of such data, contact us to discuss a separate data processing agreement.

6.1 Ownership

You own your data. All business data you input into Ootomojo (customers, invoices, tasks, leads, conversation content, and workspace files) remains your property. We claim no ownership rights over your content.

6.2 License to Us

You grant us a limited, non-exclusive license to use, process, store, and transmit your data solely to provide the Service and to maintain, debug, and improve the Service's technical infrastructure and performance. We will not use your data to train machine learning models or to develop products for other customers. This includes sending your data to third-party AI providers (such as Anthropic) for processing as described in our Privacy Policy.

6.3 Data Portability

You may request an export of your data at any time by contacting support@ootomojo.com. We will provide your data in JSON or CSV format (as applicable to the data type) within 30 business days. Exports include customer records, task data, invoice data, and conversation logs. AI model weights, system prompts, and agent configuration logic are proprietary and are not included in data exports.

6.4 Data Security

We implement industry-standard security measures. However, you acknowledge that no system is perfectly secure. You are responsible for maintaining the confidentiality of sensitive business data and for evaluating whether the Service meets your security requirements.

7. AI Agents — Important Limitations

Please read this section carefully.

No Fiduciary or Agency Relationship. The AI Agents are software tools, not your employees, agents, contractors, or fiduciaries. No fiduciary duty, agency relationship, joint venture, or partnership is created by your use of the Service. You remain solely responsible for all business decisions and actions.

  • AI agents are powered by third-party large language models. They can make mistakes, produce inaccurate information, or behave unexpectedly.
  • AI-generated content (including business recommendations, financial summaries, marketing copy, and operational suggestions) is informational only and does not constitute professional advice.
  • You are solely responsible for reviewing, verifying, and approving any actions taken by AI agents on your behalf, including but not limited to: communications sent, data modifications, financial calculations, and business recommendations.
  • AI agents may occasionally be unavailable due to maintenance, provider outages, or usage limits. We do not guarantee uninterrupted availability.
  • We are not responsible for business decisions made based on AI output.

8. Service Availability and Downtime

  • We strive to maintain high availability but do not guarantee any specific uptime percentage.
  • The Service may be temporarily unavailable due to maintenance, updates, third-party provider outages (including Anthropic, Discord, Google Cloud, and Stripe), or circumstances beyond our control.
  • We will make reasonable efforts to notify you of planned maintenance in advance.
  • We are not liable for any losses, damages, or missed opportunities resulting from Service downtime or unavailability.
  • If a continuous outage exceeds 72 hours, you may request a pro-rated credit for the affected period at our reasonable discretion by contacting support@ootomojo.com.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will meet your specific requirements
  • The Service will be uninterrupted, timely, secure, or error-free
  • AI agent outputs will be accurate, complete, or reliable
  • Any errors in the Service will be corrected
  • The Service will result in any particular business outcomes

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SQUAREPOINT CONSULTING LLC, ITS MEMBERS, MANAGERS, OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Any loss of profits, revenue, data, business opportunities, or goodwill
  • Any damages arising from reliance on AI-generated content
  • Any damages resulting from Service downtime or unavailability
  • Any damages resulting from unauthorized access to your account

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless SquarePoint Consulting LLC and its members, managers, owners, directors, officers, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content or data you submit through the Service

12. Intellectual Property

  • The Ootomojo name, logo, and brand elements are the property of SquarePoint Consulting LLC.
  • The Service software, design, and documentation are protected by copyright and other intellectual property laws.
  • Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.

13. Third-Party Services

The Service integrates with third-party platforms including Discord, Stripe, and Anthropic. Your use of these platforms is governed by their respective terms of service. We are not responsible for the availability, accuracy, or practices of third-party services.

14. Termination

  • By You: You may cancel your subscription and close your account at any time.
  • By Us: We may suspend or terminate your access if you violate these Terms, engage in abusive behavior, or fail to pay for the Service. We will provide reasonable notice when possible.
  • Effect: Upon termination, your right to use the Service ceases immediately. Sections 5 (acceptable use), 6.1 (data ownership), 7 (AI limitations), 9-11 (disclaimers, liability, indemnification), 12 (intellectual property), 15-16 (governing law, dispute resolution), and 18 (general provisions) survive termination.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law provisions. Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in Deschutes County, Oregon.

16. Dispute Resolution

16.1 Informal Resolution

Before filing any legal claim or initiating arbitration, you agree to attempt to resolve the dispute informally by contacting us at legal@ootomojo.com. We will attempt to resolve the dispute within 30 days. If informal resolution fails, either party may pursue legal remedies as described in Section 15.

16.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved through informal dispute resolution (Section 16.1) shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Deschutes County, Oregon (or remotely, at the claimant's election). The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

The arbitrator may award the same relief that a court could award, including injunctive or declaratory relief, but only to the extent required to satisfy the individual claim. Each party shall bear its own costs, except that we will pay AAA filing fees for claims under $10,000 if you cannot afford them.

16.3 Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL CLAIMS MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. YOU AGREE TO WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION AGAINST SQUAREPOINT CONSULTING LLC. IF THIS WAIVER IS FOUND UNENFORCEABLE, THE ENTIRE ARBITRATION PROVISION (SECTION 16.2) SHALL BE VOID.

16.4 Small Claims Court

Notwithstanding the arbitration provision above, either party may bring an individual action in small claims court in Deschutes County, Oregon, if the claim qualifies under applicable small claims court rules.

16.5 Opt-Out

You may opt out of the arbitration and class action waiver provisions by sending written notice to legal@ootomojo.com within 30 days of creating your account. If you opt out, disputes will be resolved in the state or federal courts of Deschutes County, Oregon as described in Section 15.

17. Modifications to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree, you must cancel your subscription before the changes take effect.

18. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and SquarePoint Consulting LLC regarding the Service. In the event of a conflict between these Terms and the Privacy Policy, these Terms shall control with respect to your use of the Service, and the Privacy Policy shall control with respect to the collection and use of your personal information.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.
  • Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights freely.
  • Electronic Communications: You consent to receive communications from us electronically, including via email and through the Service. You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.
  • Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemic, war, terrorism, government actions, third-party service provider outages (including but not limited to Anthropic, Discord, Google Cloud Platform, and Stripe), internet failures, power outages, or cyberattacks.
